Marvel Increases Private Placement To $1,000,000
Marvel Discovery Corp. (TSXV:MARV)(FSE:O4T1)(OTCQB: MARVF); (the “Company”) is pleased to announce that due to shareholder demand it has increased the private placement offering previously announced November 24th, 2021. The Company will now be raising up to $1,000,000 by issuing Flow and Non-Flow Through units.
Flow-Through units will be issued at a price of $0.13 per unit. Each unit consisting of one Flow-Through common share and one-half of one common share purchase warrant; each whole warrant (“Warrant”) entitling the holder to subscribe for and purchase one non-flow-through common share (“Warrant Shares”) at a price of $0.25 for a period of 24 months following the acceptance date.
Non-Flow-Through units will be issued at a price of $0.115 per unit. Each unit consisting of one common share and one common share purchase warrant; each warrant (“Warrant”) entitling the holder to subscribe for and purchase one non-flow-through common share (“Warrant Shares”) at a price of $0.20 for a period of 24 months following the acceptance date.
The aggregate gross proceeds from the sale of the Offering will be used for exploration of the Company’s projects and general working capital.
A finders’ fees may be paid in connection with the Offering in accordance with the policies of the TSX Venture Exchange (the “Exchange”).
All securities issued in connection with the Offering will be subject to a statutory hold period expiring four months and one day after closing of the Offering. Completion of the Offering, and payment of the Finders’ fee are subject to the approval of the Exchange.
